1. Acceptance of Terms
By accessing or using the Valorcy platform, services, and website (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, you may not access or use our Services. These Terms constitute a legally binding agreement between you ("User," "you," or "your") and Valorcy Inc. ("Valorcy," "we," "us," or "our").
You represent and warrant that you are at least 18 years of age, or the age of legal majority in your jurisdiction, and have the legal capacity to enter into these Terms. If you are using the Services on behalf of an organization, you further represent and warrant that you have the authority to bind that organization to these Terms.
We reserve the right to modify these Terms at any time by posting the updated version on our website. Material changes will be communicated to you via email or through a prominent notice on our platform. Your continued use of the Services following the posting of any changes constitutes your acceptance of such changes.
2. Account Registration and Security
To access certain features of our Services, you must register for an account. When registering, you agree to provide accurate, current, and complete information and to update this information as necessary to maintain its accuracy. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
You must not share your account login information with any third party or allow anyone else to access your account. You agree to notify us immediately of any unauthorized access to or use of your account. Valorcy will not be liable for any loss or damage arising from your failure to protect your account credentials.
We reserve the right to suspend or terminate accounts that violate these Terms, engage in fraudulent or abusive behavior, or remain inactive for an extended period. Upon termination, your right to use the Services ceases immediately, and provisions that by their nature should survive termination will remain in effect.
3. Subscription Plans and Payments
Valorcy offers both free and paid subscription plans. Paid plans are billed on a recurring monthly or annual basis, as specified at the time of purchase. By subscribing to a paid plan, you authorize us to charge the applicable fees to your designated payment method. All fees are non-refundable except as expressly stated in these Terms or required by applicable law.
We reserve the right to change our pricing at any time with at least 30 days advance notice. Price changes will take effect at the start of your next billing cycle. If you do not agree with the new pricing, you may cancel your subscription before the changes take effect without penalty.
Free trials, if offered, are available to new users only and are limited to one trial per person or organization. We reserve the right to charge your payment method at the end of the trial period unless you cancel before the trial expires. You may cancel your subscription at any time through your account settings, and your access will continue until the end of the current billing period.
4. User Content and Intellectual Property
You retain all rights to the content you create and upload to the Valorcy platform ("User Content"). By using our Services, you grant Valorcy a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and distribute your User Content solely for the purpose of providing and improving the Services as described in these Terms.
You represent and warrant that your User Content does not infringe upon the intellectual property rights of any third party, violate any applicable law or regulation, contain defamatory, obscene, or otherwise objectionable material, or compromise the security of our platform. We reserve the right to remove or restrict access to any User Content that violates these provisions.
Valorcy and its licensors retain all intellectual property rights in the platform, software, templates, designs, and other materials provided as part of the Services. You may not copy, modify, distribute, sell, or lease any part of our Services or included software, nor may you reverse engineer or attempt to extract the source code, unless applicable law permits it or you have obtained our written permission.
5. Acceptable Use Policy
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not use the Services to transmit, store, or distribute any content that is illegal, harmful, threatening, abusive, harassing, defamatory, or otherwise objectionable. This includes, but is not limited to, content that promotes hate speech, violence, discrimination, or exploitation of minors.
You shall not attempt to gain unauthorized access to any portion of the Services, other user accounts, or any systems or networks connected to our platform. This prohibition includes activities such as hacking, scraping, data mining, or using automated scripts to collect information without our prior written consent.
We reserve the right to investigate and take appropriate action against anyone who, in our sole discretion, violates this Acceptable Use Policy. Such actions may include issuing warnings, restricting or terminating access to the Services, and reporting violations to law enforcement authorities. You agree to indemnify and hold us harmless from any claims arising from your violation of this policy.
6. Limitation of Liability
To the maximum extent permitted by applicable law, Valorcy and its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the Services.
In no event shall our total aggregate liability to you for all claims arising out of or relating to the Services exceed the amount you have paid to us in the twelve months preceding the event giving rise to the claim, or one hundred dollars ($100), whichever is greater. This limitation applies regardless of the legal theory on which the claim is based.
The Services are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, timely, secure, or error-free.
