Software License

Subject to your compliance with these Terms of Service and payment of all applicable fees, Valorcy Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Valorcy platform, including the website builder, hosting services, templates, and associated documentation (collectively, the "Software"), solely for the purpose of creating and managing websites.

This license is granted on a per-user, per-account basis. Each paid subscription entitles the specified number of users to access and use the Software. Sharing account credentials, access tokens, or API keys with unauthorized users is a violation of this license and may result in suspension or termination of your account.

The license granted herein is limited to the features and functionality available under your subscribed plan. Access to premium features, advanced tools, or additional resources may require upgrading to a higher-tier plan or purchasing add-on services.

You may not copy, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software or any portion thereof, except as expressly permitted by applicable law or as authorized in writing by Valorcy. You may not remove, alter, or obscure any proprietary notices, labels, or markings on the Software.

You may not rent, lease, lend, sell, sublicense, distribute, or otherwise transfer the Software or your rights under this license to any third party without the prior written consent of Valorcy. You may not use the Software for timesharing, service bureau, or hosted service purposes unless explicitly authorized under an Enterprise or reseller agreement.

You may not use the Software to develop a competing product or service, or to build a product that replicates, duplicates, or substitutes for any significant feature or functionality of Valorcy. You may not benchmark the performance of the Software against competing products without our prior written consent.

Valorcy provides a library of templates, images, icons, and other design assets ("Assets") that are included with your subscription. Subject to your active subscription and compliance with these terms, Valorcy grants you a license to use, modify, and display these Assets on websites built and hosted on the Valorcy platform.

This asset license is non-exclusive and limited to use within the Valorcy platform. You may not extract, download, redistribute, or use Assets outside of Valorcy-hosted websites unless you have obtained a separate license from the original creator. Some Assets may be provided by third-party creators under separate license terms, which will be clearly indicated.

Custom templates and assets that you upload to the platform remain your property. You retain all rights to your original creations. By uploading content to Valorcy, you grant us a license to host, cache, and serve your content as necessary to provide the services.

The Software may include or be distributed with certain open-source software components. These components are subject to their respective open-source license terms, which may include copyleft, attribution, or other requirements that differ from the terms of this license.

A list of open-source components used in the Software, along with their respective license terms and attribution notices, is available upon request by contacting legal@Valorcy.io. Nothing in this license agreement shall restrict, limit, or otherwise affect your rights under any applicable open-source software license.

If any open-source license requires that Valorcy make certain source code available, we will comply with such requirements and provide the applicable source code through a written request or through a publicly accessible repository.

All right, title, and interest in and to the Software, including all intellectual property rights therein, are and shall remain the exclusive property of Valorcy and its licensors. This license does not transfer any ownership rights to you. Valorcy reserves all rights not expressly granted under this license.

The Valorcy name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Valorcy Inc. You may not use these marks without our prior written permission, except as necessary to accurately describe your use of the Software in accordance with fair use principles.

Any feedback, suggestions, or ideas you provide to Valorcy regarding the Software may be used by Valorcy without any obligation of confidentiality or compensation. By submitting feedback, you grant Valorcy a perpetual, irrevocable, royalty-free license to use, reproduce, and incorporate your feedback into the Software.

This license is effective until terminated. Your rights under this license will terminate automatically if you fail to comply with any of the terms and conditions of this license or the Terms of Service. Upon termination, you must cease all use of the Software and destroy any copies thereof in your possession.

Valorcy reserves the right to terminate this license at any time, with or without cause, by providing you with notice. In the event of termination, you may request an export of your website content within 30 days of termination, after which your data may be permanently deleted in accordance with our data retention policy.

Provisions of this license that by their nature should survive termination, including intellectual property provisions, limitation of liability, warranty disclaimers, and indemnification obligations, shall survive any termination or expiration of this license.
